Friends, my stage of work on the Supervisory Board of JSC “Ukrainian Distribution Networks” is coming to an end.
The company’s shareholder – the Ministry of Energy of Ukraine – within the framework of the implementation of the Government’s plan has decided to completely reboot the supervisory boards of key energy enterprises. This decision is aimed at holding new competitions and forming updated management bodies.
At the same time, high-quality corporate governance is not only about the personnel composition, but primarily about adhering to clear rules and procedures. The decision to terminate my powers raises questions in my mind about its compliance with the legislation and the principles of good corporate governance. I am currently consulting with lawyers, analyzing the legal grounds and procedure for my dismissal, and after completing this analysis, I will make a decision on further steps, including a possible court appeal.
JSC “Ukrainian Distribution Networks” is a newly established company, and in fact all corporate governance processes were implemented by the Supervisory Board from a “clean slate”.
During my work on the Supervisory Board, we managed to form the basis of the company’s corporate governance system, ensure its stable functioning during the extremely difficult period of full-scale war and lay the foundation for further development. Key processes of interaction between the shareholder, the Supervisory Board and the executive body were built, the work of committees was launched, the control and audit function was strengthened, and the strategic and financial guidelines of the company were determined.
I honestly and responsibly performed my duties on the Supervisory Board, and all my decisions were dictated solely by the interests of the company’s development and strengthening its stability.
In any case, I continue to work to protect the interests of energy market participants within the Energy Club and our joint projects.
