From Rules to Responsibility: Energy Club Summarizes Special Project on Corporate Governance

On July 16, in Kyiv, Energy Club held the forum “Corporate Governance in Energy: From Formal Rules to Real Responsibility.” The event, attended by representatives of the Club’s member companies, public authorities, the Verkhovna Rada, energy business, and the legal and expert communities, was the conclusion of a three-month special project dedicated to the development of a modern model of corporate governance in the Ukrainian energy sector.

Within the framework of the special project, Energy Club conducted a series of interviews and expert discussions with the participation of representatives of energy companies, members of supervisory boards, lawyers, consultants, representatives of the state sector, and corporate governance specialists. It was these developments that became the basis of the final discussion, during which the participants summarized the key conclusions, compared different approaches, and outlined practical recommendations for the industry.

The forum was moderated by Artem Martyniuk, Vice President of Energy Club, Acting Director General of JSC “Ukrainian Distribution Networks” (August 2023 – September 2025), and Iryna Dmytrotsa, expert in energy project development and business planning, Head of Operational and Regulatory Policy of JSC “Ukrainian Distribution Networks” (April 2024 – November 2025).

The discussion centered on practical issues that determine the effectiveness of corporate governance in state-owned and private energy companies. The speakers considered how the state should implement the owner’s rights without manual intervention in the operational activities of enterprises, what the real role of supervisory boards should be after their renewal, by what criteria to evaluate the effectiveness of independent members of supervisory boards, and where the line between strategic control and political influence lies.

The experts paid special attention to the issues of responsibility of management and governing bodies, the impact of corporate governance on the trust of international financial institutions, donors, and investors, as well as the practical implementation of OECD standards, development of compliance, transparency, and accountability in the Ukrainian energy sector.

Particular emphasis was placed on the changes of 2025–2026, including the renewal of supervisory boards in key state-owned energy companies and a new stage of implementation of international corporate governance standards, which should become the foundation for increasing the efficiency of enterprises and strengthening the trust of international partners.

The forum became a professional platform for forming a common vision for the further development of corporate governance in the energy sector of Ukraine. The conclusions and recommendations developed during the discussion can become an important guide for the state, energy companies, and all market participants on the way to creating a transparent, responsible, and effective management system that will meet the best international practices and contribute to attracting investment in the restoration and development of Ukrainian energy.
